GENIVAR acquires AMEC’s industrial and hydro-energy sectors in Quebec

Montreal, January 26, 2005 – GENIVAR, Canada’s leading engineering and construction firm, today announced its acquisition of four of AMEC’s divisions active in the industrial and energy sectors in Quebec. This brings GENIVAR’s workforce to nearly 1,000 employees.

“This acquisition makes GENIVAR a key player in the industrial sector and a partner of choice for clients in this field, in particular in the pulp and paper, pharmaceutical and biotechnology industries, as well as the hydroelectric market,” said Pierre Shoiry, President of GENIVAR.

“The team joining GENIVAR was born of the philosophy of H.A. Simons, where skill and service quality are values that clients can count on. The team was involved in some of the largest industrial and energy projects in Quebec and abroad, notably in the pulp and paper and energy fields,” said André Boudreault, Executive Vice-President of GENIVAR.

“The breadth and depth of the engineering, project management and construction capabilities that this group brings will lead to the development of innovative, efficient and cost-effective solutions that contribute to our clients’ success and help them develop and maintain their competitive edge in their respective markets,” Mr Boudreault continued. “For example, the project carried out by the team for Solvay PaperBoard in Syracuse, New York, received two awards: one from the Association of Consulting Engineers of Canada, which presented the Schreyer Award, its top honour in recognition of technical excellence; and the other, the Léonard Award, from the Association of Consulting Engineers of Quebec. The project consisted in adding papermaking machine No. 3, which used leading-edge technology and sophisticated equipment, to a highly automated complex. We are therefore gaining world-class expertise, developed and continuously updated by experienced professionals, whether it be in pulp and paper processes, pharmaceutical facilities or energy projects. Our presence in Quebec’s industrial regions is another advantage that enables us to support our clients in their operations and large capitalization projects.”

AMEC and GENIVAR have also agreed to work in partnership when opportunities arise in sectors covered by this transaction and in the mining and infrastructures fields. This partnership aims, among other things, to support major international industrial clients with facilities throughout Canada, leveraging the strengths of both organizations, including their resource and skill pools, to position themselves strategically for major investment projects.
